Asset-Based Lending / Debt Finance Attorney

Hybrid role in Boston offering a competitive USD 310,000 - 435,000 per year salary and a collaborative, high-performance practice. This Asset-Based Lending / Debt Finance Attorney position supports lenders across sophisticated ABL and debt finance transactions, with direct client engagement and strong career development focused on attorneys who want a defined path toward equity partnership.

You will be part of a finance-focused team that handles complex secured lending work for leading financial institutions and private credit clients. The role also includes access to generative AI tools for legal drafting and analysis, with expectations around appropriate confidentiality and ethical judgment.

Responsibilities

• Represent lenders in sophisticated Asset-Based Lending (ABL) and debt finance transactions.
• Structure and negotiate first-lien, second-lien, and split-lien transactions.
• Draft and negotiate credit agreements, intercreditor agreements, and collateral documents.
• Manage transactions from structuring through closing.
• Collaborate with clients and internal stakeholders in a client-facing finance practice.

Requirements

• Substantial ABL / secured finance experience.
• Experience representing banks, private credit funds, BDCs, or institutional lenders.
• Strong knowledge of UCC Article 9, borrowing base mechanics, collateral, and intercreditor agreements.
• Excellent drafting, negotiation, analytical, and client-management skills.
• Strong academic credentials; large law firm or elite boutique experience preferred.
• Ability to use generative AI tools for legal drafting and analysis while maintaining confidentiality and applying sound ethical judgment.
• Must be authorized to work in the U.S. without current or future sponsorship.
• Minimum 2 years of relevant experience.
