2027 Financial Analyst (Class of 2027) - Transaction Opinions and Board & Special Committee Advisory

Houlihan Lokey is hiring a 2027 Financial Analyst to join its Transaction Opinions and Board & Special Committee Advisory groups in Atlanta, GA. In this role, you will support valuation, due diligence, and the preparation of materials used to inform board and special committee advice and transaction opinions.

Role Overview

Houlihan Lokey’s Board & Special Committee Advisory group provides advice to boards of directors and special committees on the valuation of complex businesses and securities. The team supports understanding and structuring critical transaction issues, evaluating alternatives, and delivering transaction opinions.

The Transaction Opinions group focuses on complex situations, related-party transactions, and other corporate governance issues. The group provides fairness, solvency, and valuation advisory services across a range of transactions, including mergers, acquisitions, divestitures/spin-offs, SPACs/PIPEs, recapitalizations, restructurings, and activist shareholder situations.

Financial Analysts work on complex analytics, financial models, and valuation workstreams, collaborating with other teams within the firm such as M&A and industry groups to support client engagements. Analysts also contribute to stand-alone fairness, solvency, and transaction-based valuation opinions.

Key Responsibilities

• Analyze and explain historical and projected financial information
• Perform business and financial due diligence
• Conduct industry and sub-sector research
• Value companies, businesses, and securities
• Build complex financial models (including models that support negotiating and advocacy positions, assess cash flows, and value specific securities)
• Assist with preparation of board and special committee presentations supporting advice and opinions
• Participate in pitches and business development initiatives
• Support relationships with current and prospective clients

Required Qualifications

• Undergraduate degree in Finance, Accounting, Economics or a related field, with a graduation date between December 2026 and June 2027
• Prior investment banking, valuation, or related experience
• Strong accounting, finance, financial modeling, and analytical abilities
• Strong qualitative and quantitative research skills
• Excellent oral and written communication skills
• Independent thinker and resourceful problem solver driven to succeed in a fast-paced environment
• Strong work ethic, organizational skills, and ability to multi-task

Compensation and Benefits

Salary: USD 100,000 per year
