Senior Corporate Finance Attorney

BE Group is seeking a Senior Corporate Finance Attorney (Debt Finance) based in Conshohocken, PA for an onsite role. The position focuses on building and expanding the firm’s debt finance practice through independent management of sophisticated financing matters on both the borrower and lender sides.

Role Overview

The Senior Corporate Finance Attorney will represent clients across a range of debt financing transactions and credit facilities, including secured and unsecured structures. This role includes handling deal execution end-to-end, advising on transaction structuring, and supporting the development of junior corporate attorneys.

Key Responsibilities

• Represent borrowers and lenders in debt financing transactions and credit facilities, including traditional asset-based lending, term loans, revolving facilities, acquisition financing, and warehouse facilities for novel financial products.
• Draft, review, and negotiate loan agreements, security agreements, guarantees, intercreditor agreements, and other financing documentation.
• Advise clients on the structure and negotiation of financing transactions that support company growth, acquisitions, expansion, and operational capital needs.
• Manage transactions independently from the initial term sheet through closing.
• Coordinate due diligence, closing deliverables, documentation, and overall execution of transactions.
• Work with a range of stakeholders, including banks, private credit lenders, private equity sponsors, venture capital firms, investors, and corporate clients.
• Provide strategic guidance on financing structures, risk allocation, transaction management, and practical business considerations.
• Supervise, mentor, and teach junior corporate attorneys working on financing matters.
• Collaborate with attorneys in corporate, mergers and acquisitions, tax, real estate, bankruptcy, and commercial practice groups.
• Maintain strong client relationships through responsive communication, sound judgment, and consistently high-quality work.

Required Qualifications

• Juris Doctor (JD) from an accredited law school.
• Admission to the Pennsylvania Bar or the ability to waive into Pennsylvania.
• Experience representing borrowers and/or lenders in secured and unsecured financing transactions.
• Strong drafting and negotiation experience with complex loan and financing documents.
• Ability to independently manage sophisticated transactions and client relationships.
• Interest in supervising and developing junior attorneys.
• Candidates admitted in New Jersey and/or New York may be considered on a case-by-case basis.

Preferred Experience

• Large law firm or sophisticated boutique transactional experience is preferred.

Location and Work Preference

This role is onsite in Conshohocken, PA, with preference given to candidates who can work from the firm’s Philadelphia or Conshohocken office.

Experience Level

Minimum of 5 years of relevant experience.

Education

Juris Doctor (JD) from an accredited law school.
